Cognota AI Terms

We have updated the Agreement as of July 26, 2024.

These Cognota AI Terms (these “AI Terms”) are between Cognota, Inc. (“Cognota”) and the customer agreeing to these terms (“you”) cover your use of Cognota AI, defined below. If you are agreeing to these AI Terms on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these AI Terms. In that case, “you” refers to that company or other legal entity. These AI Terms are expressly incorporated into your existing agreements with Cognota, including without limitation, the Cognota Terms and Conditions and Cognota’s Privacy Policy. These AI Terms will govern if they conflict with any of the other terms in your Agreement. Defined terms in the Cognota Terms and Conditions will apply to these AI Terms.

Access to Cognota AI. Cognota AI is made available to you on the terms and conditions that apply to the Services in your Agreement. Just like when you use Services generally, you are responsible for using Cognota AI in accordance with theTerms available at www.cognota.com/terms-of-use. “Cognota AI” means feature(s) and functionality made available by Cognota that are identified by Cognota as artificial intelligence (AI) features.

Input, Output, and Ownership. You may provide or make available prompts, images, materials, files, and other content to Cognota AI (“Input”), and receive images, materials, files, and other content generated and returned by Cognota AI based on that Input (“Output”). Input and Output are Customer Data as defined in the Terms. As between you and Cognota, you retain all right, title, and interest in your Input and Output and are responsible for all liability associated therewith. Cognota retains all right, title, and interest in Aggregated Statistics(including improvements and enhancements to the Services, along with new products and features).

AI Limitations. Output is generated by artificial intelligence. Output is not verified by Cognota for accuracy and does not represent Cognota’s views. Cognotaspecifically disclaims all liability associated with the Output and makes no warranty or guarantee as to the accuracy, completeness, reliability or originality of Output and will in no way be liable or responsible for your use of Output or any omissions or errors in Output. You are responsible for evaluating Output for accuracy and suitability for your use case, including by employing human review of Output and obtaining any relevant clearances.

Miscellaneous. Cognota may update these AI Terms in the same manner that Cognota may update the Terms.
